Fees and Payment

Fees for our advisory services will be specified in individual service agreements. Payment terms, including due dates, accepted payment methods, and any applicable taxes, will be detailed in the relevant service agreement.

All fees are quoted in Euros unless otherwise specified. Late payment may result in suspension of services and additional charges as specified in the applicable service agreement.

Confidentiality

CipherStrategos acknowledges that in the course of providing services, we may have access to confidential information. We are committed to maintaining the confidentiality of such information and will not disclose it to third parties without your consent, except as required by law.

Similarly, you agree to maintain the confidentiality of any proprietary methodologies, processes, or other confidential information shared by CipherStrategos during the provision of services.

Limitation of Liability

To the fullest extent permitted by applicable law, CipherStrategos shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services.

Our total liability to you for any claim arising out of or relating to these terms or our services shall not exceed the amount paid by you to CipherStrategos for the specific services giving rise to the claim during the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the fullest extent permitted by applicable law.

Termination of ongoing advisory services will be governed by the terms of the applicable service agreement.

These Terms of Service and any disputes arising out of or related to these terms or our services shall be governed by and construed in accordance with the laws of Austria, without regard to its conflict of law principles.

Any legal action or proceeding arising under these terms will be brought exclusively in the courts of Austria, and you hereby consent to personal jurisdiction and venue therein.

Changes to Terms

CipherStrategos reserves the right to modify these Terms of Service at any time. We will notify you of any changes by posting the new terms on our website and updating the "Last updated" date at the top of these terms.
